Job Description
Our client is a leading provider of outsourced services to hospitals, specializing in sterile processing solutions, including management, labor, equipment and supplies utilized in the sterilization of surgical instruments and settings.
The Contract Administrator & Legal Compliance Specialist will play a pivotal role in managing the organization's contractual obligations, ensuring legal compliance, and maintaining accurate records of contracts and regulatory requirements. The ideal person will have a strong legal background and meticulous attention to detail. You will be responsible for negotiating various legal contracts, maintaining a comprehensive contract database, and overseeing business licensing and company registration across multiple states. You will serve as a trusted advisor, ensuring that all contractual and regulatory matters are handled efficiently and effectively.
Key Responsibilities:
- Contract Negotiation and Management
- Review, negotiate, and draft a wide range of legal contracts, including customer agreements, vendor agreements, service contracts, leases, and non-disclosure agreements (NDAs), while ensuring compliance with legal requirements and company policies.
- Collaborate with internal stakeholders and external parties to address contractual issues, resolve disputes, and negotiate favorable terms and conditions.
- Maintain accurate records of contract terms, termination and renewal dates, and key provisions, and ensure that contracts are executed in a timely manner.
- Contract Database Maintenance
- Establish and maintain a centralized contract management system to organize, track, and manage contract lifecycles, milestones, and obligations.
- Regularly update the contract database with new contracts, amendments, and terminations, ensuring data accuracy and accessibility for stakeholders.
- Legal Compliance and Regulatory Requirements
- Monitor business licensing requirements and company registration obligations across all states where the organization operates, ensuring timely renewals and compliance with regulatory deadlines.
- Coordinate with legal counsel and regulatory authorities to address compliance issues, respond to inquiries, and maintain regulatory filings and documentation.
- Conduct periodic audits and reviews to assess compliance with contractual obligations, regulatory mandates, and internal policies.
- Attention to Detail and Accuracy
- Demonstrate meticulous attention to detail in reviewing contracts, identifying potential risks, and ensuring contractual compliance.
- Conduct thorough analysis of contract terms and conditions to mitigate legal and operational risks, and ensure alignment with business objectives.
- Maintain high standards of accuracy and precision in contract documentation, data entry, record-keeping activities, and in maintaining a contract database that is well organized and up to date.
- Communication and Collaboration
- Communicate effectively with internal stakeholders, legal counsel, vendors, and regulatory agencies to address contractual and compliance-related matters.
- Provide guidance and support to colleagues on contract-related inquiries, procedures, and best practices.
- Foster a collaborative and solution-oriented approach to contract administration and legal compliance activities.
Qualifications:
- Bachelor's degree in Business Administration, Legal Studies, or related field; JD or Paralegal certification preferred.
- Minimum of 3-5 years of experience in contract administration, legal compliance, or related roles, with strong negotiation skills and legal knowledge.
- Proficiency in contract management software and database systems.
- Excellent communication, organizational, and problem-solving skills.
- Ability to prioritize tasks, manage multiple projects simultaneously, and meet deadlines in a fast-paced environment.
- Very strong attention to detail.
